Terms & Conditions of Service

Please read these Terms carefully before using Ntradex. By accessing or using our platform, you agree to be bound by everything set out here. These Terms are governed by the laws of Nova Scotia, Canada.

Introduction

Welcome to Ntradex Solutions Inc. ("Ntradex," "we," "us," or "our"). These Terms of Use ("Terms") govern your use of our products and services, including currency exchange, virtual account creation, deposits, transfers, and all payment services (collectively, the "Services"), for both personal and business clients. By accessing or using our Services, you agree to these Terms, which are governed pursuant to the laws of Nova Scotia, Canada. If you do not agree, you must not use our Services.

These Terms incorporate by reference additional documents (the "Additional Documents"), which also apply to your use of our Services, including:

Our Pricing Page, which sets out our pricing and how it works.

Our Privacy Policy, which sets out the terms on which we process any personal data we collect about you, or that you provide to us. By using our Services, you consent to such processing, and you confirm that all data provided by you is accurate.

1.1 Terms of Use

When you open an Ntradex Account, these Terms of Use apply to that Ntradex Account for as long as it remains open. This applies whether you hold a personal account or a business account.

We may update these Terms from time to time. Any changes will take effect as soon as the revised Terms are published on our website and app, or on the date notified to you.

Ntradex Solutions Inc. is also a registered participant under the Bank of Canada's Retail Payment Activities Act (RPAA), which governs oversight of retail payment service providers in Canada. Where we operate in other jurisdictions, our Services are delivered through our relevant entities and in compliance with the applicable regulations of each jurisdiction.

Jurisdictional Adjustments

3.1 Legal Compliance

Ntradex Solutions Inc. operates in multiple jurisdictions, including Nigeria, Canada, the United Kingdom, the United States, and Australia. Users must comply with all applicable laws and regulations of their respective countries when using our Services. In Canada, our operations are governed by applicable federal and provincial legislation, including the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA) and the Personal Information Protection and Electronic Documents Act (PIPEDA). Ntradex reserves the right to restrict or decline Services in any jurisdiction where doing so would conflict with applicable law.

3.2 Currencies and Payment Methods

We support transactions in over 80 currencies, including the Nigerian Naira (NGN), Ghana Cedis (GHS), US Dollars (USD), Kenyan Shillings (KES), Canadian Dollars (CAD), British Pounds (GBP), Euros (EUR), and many more. Additional currencies may be added at our discretion.

Available payment methods include Local Bank Transfer (for USD, GBP, EUR, ZAR, CNY), Card Payments (Visa/Mastercard) for all supported currencies, and Interac e-Transfer for CAD. Payment method availability is always confirmed within the platform at the time of transaction.

3.3 Taxation

Users — whether personal or business — are responsible for reporting and paying any applicable taxes in their respective jurisdictions. Ntradex Solutions Inc. does not provide tax advice. It is your responsibility to understand and fulfil your tax obligations arising from use of our Services.

Services We Offer

Ntradex Solutions Inc. operates a multi-currency wallet platform that allows you to hold, send, receive, and exchange currency. We provide Services to both personal account holders and registered business clients. You should carefully read each relevant section of these Terms before using the Services described below.

Currency Exchange: You can convert one currency to another within your Ntradex Wallet.

Virtual Accounts: Currency-specific virtual accounts allow you to receive money directly into your Ntradex Wallet.

Deposits: You can deposit money into any of your currency wallets using the specific deposit methods available on the application.

Transfers: You can send money out of Ntradex using the various transfer methods we have available.

Business Accounts: Registered business clients may access enhanced Services including higher transaction limits, bulk payment capabilities, business FX management, and API integrations for payment workflows. Business account eligibility and features are subject to successful Know Your Business (KYB) verification and approval by Ntradex Solutions Inc.

Fees & Pricing

Our fees are outlined in our Pricing Page, which is linked at the end of these Terms. Fees are subject to change, and we will notify users accordingly.

Creating an Ntradex Account is free. You may incur a fee when you use parts of our Services such as sending money (currency dependent), exchanging currencies, getting a card, or receiving deposits (currency dependent). Business clients may have separate fee schedules applicable to their account type, which are disclosed at onboarding and updated with notice.

User Eligibility

Users must be at least 18 years of age to use Ntradex and must possess valid identification specific to their country of residence.

Personal accounts are for individual use by the registered account holder. Business accounts may be opened by a legal entity (corporation, partnership, or other registered business) through an authorised representative who is at least 18 years of age and holds the authority to bind the entity to these Terms.

You may only open one personal Ntradex Account using your means of identification. Business entities may open one business account per registered entity, subject to Ntradex's approval.

All activities under an Ntradex Account — personal or business — shall be considered activities conducted by the registered account holder or their authorised representatives. You agree to use the Services only to transact on your own account or on behalf of your authorised business entity, and not on behalf of any other person or entity. You must not allow unauthorised third parties to access or use the Services through your Ntradex Account.

Using Our Product

To start using our Services, you must create a profile and provide certain information as prompted by us. Business clients must additionally complete the Know Your Business (KYB) process, including submitting documentation about the business entity, its directors, and beneficial owners as required by applicable law.

All information you provide to us must be complete, accurate, and truthful at all times. You must notify us of any changes by providing updated and supporting documentation. We cannot be responsible for any loss arising from your failure to do so.

We are required by law to conduct security and customer due diligence checks — including Know Your Customer (KYC) and Know Your Business (KYB) checks, as applicable — before providing any Services and in order for you to hold and maintain an Ntradex Account.

Ntradex Solutions Inc. reserves the right to close, suspend, or limit access to your Ntradex Account or the Services in the event we are unable to obtain or verify any information related to you, your business, or your transactions.

Ntradex Solutions Inc. also reserves the right to restrict your access to your Ntradex Account when you are in strict violation of our terms and conditions, policies, and/or user agreements.

Security and Compliance

8.1 Security Measures

We have implemented two-step authentication and password requirements to protect user accounts. Users must take all reasonable measures to keep their credentials secure.

We recommend you use the Services to send money to friends, family, and trusted and verified counterparties that are known to you or that you have already done business with. You should be cautious when sending money to recipients you do not know and have never dealt with before.

When accessing your Ntradex profile, you should at a minimum do the following: change your password regularly and ensure it is not reused for other online accounts; never share your login details with anyone else — if you suspect your account may be accessed by someone else, contact Customer Support immediately, as we will never ask you for your password; always use strong passwords using a mixture of letters, numbers, and symbols; and set up two-step authentication where available.

Keep your email account secure. You may reset your password using your email address — let Customer Support know immediately if your email account becomes compromised. Regularly update the App on your device to the latest version, maintain your device's operating system with regular security updates, and install and maintain up-to-date anti-virus software where applicable.

It is essential to ensure that every time you enter your Ntradex login credentials, you do so only on our official App (downloaded from the iOS or Android store). Emails and SMS messages sent by fraudsters may lead to fake login portals that phish your login information and two-step authentication details. Similarly, criminals can place malicious adverts on search engines leading to fake websites of trusted businesses.

8.2 Fraud and Scams

Ntradex Solutions Inc. is committed to preventing fraud, including money laundering, scams, and other fraudulent activity. Users should verify recipients before making payments and report any suspicious activity immediately. If you suspect you have become a victim of a scam, contact our Customer Support team without delay.

9

Our Services — Detailed Terms

9.1 Currency Conversion

Our Services include the ability to exchange currencies within your Ntradex Wallet, when you hold a balance in one currency and exchange it to a different currency.

When we refer to an exchange rate, it means the exchange rate at the relevant time for the relevant currency pair (for example, GBP to EUR, USD to CAD) that is offered by Ntradex Solutions Inc., typically provided by a reference rate provider and usually the mid-market exchange rate. We may change our reference rate provider from time to time without notice to you.

9.2 Your Ntradex Account

Your Ntradex Account wallet allows you to hold, send, and receive funds and exchange currency. The funds held on your Ntradex Account do not expire, and may not earn any interest or return. You may hold your funds in any currencies that we support at any time.

You may withdraw funds from your Ntradex Account at any time subject to certain conditions — please see Section 9.8 (Sending Out Funds) for more details. The funds held on your Ntradex Account belong to you as the registered Ntradex Account holder.

We may place certain limits on your Ntradex Account depending on your country of residence, KYC or KYB verification status, or other legal considerations. You can contact our Customer Support team for more information about these limits.

We may suspend and/or terminate your Ntradex Account if, after investigation, it is discovered that you engaged in fraudulent behaviour in violation of our Terms. You can contact our Customer Support team for more information if your account is suspended or terminated.

Ntradex Solutions Inc. is not a bank, and your Ntradex Account is not a bank account. The funds held with Ntradex Solutions Inc., including balances in your Ntradex Wallets, are not insured by any deposit protection scheme.

When Ntradex Solutions Inc. provides you with Account Details and/or Virtual Accounts, these are a means to receive funds from third parties into a bank account held by Ntradex Solutions Inc. and its affiliates. Ntradex Solutions Inc. will credit your Ntradex Account when you use the Account Details prescribed to you and under your KYC'd name. Third-party deposits for accounts belonging to Ntradex Solutions Inc. are strictly prohibited — see Section 9.7 (Funding via Third-Parties) for more details.

To add funds to your Ntradex Account, log in and follow the Deposit steps for each currency. You may be presented with one or more methods of adding funds. In certain currencies, we may provide you with local account details you can use to send money directly to your Ntradex Account ("Account Details"). Any money you receive into your Ntradex Account will be converted into electronic money and recorded in your transaction history. You should check and confirm the receipt of incoming funds regularly and let us know of any irregularities.

We are not responsible for the funds you have added until we have received them. The bank or payment service provider you used to send funds to us is responsible for ensuring we receive them so that we can credit your Ntradex Account. We will credit your Ntradex Account once we have received your funds.

9.3 Funding Your Ntradex Account via Virtual Account

You may fund your account via an automatically generated virtual account under your KYC'd name linked to your Ntradex Account. When you choose to fund your account via your virtual account details, you confirm that you are authorised to access and transmit funds from your source bank account, or from a third-party account whose holder you have provided with your virtual account details.

The bank that you choose to complete your virtual account funding from may have restrictions on the amount you may send in each transfer and the frequency of transfers over a period of time.

9.4 Funding Your Ntradex Account via Debit/Credit Card

You may fund your account via a debit or credit card after providing your card details, including card number and cardholder name. When you choose to fund your account via card, you confirm that your card details are correct, that you are authorised to access and transmit funds from your card account, that your card account is in good standing with the account-holding financial institution, and that you have the authority to initiate a debit or credit card payment in the amount at issue.

Important: If it is discovered that you added and/or used a card that is not yours to initiate transactions, leading to a dispute and/or chargeback, your account will be suspended and/or terminated with all funds refunded to the Cardholder.

9.5 Funding Your Ntradex Account via Interac

You may fund your account via Interac by linking your Interac email to your Ntradex Account. When you choose to fund your account via Interac, you confirm that you are authorised to access and transmit funds from your bank account, and that you have the authority to initiate an Interac e-transfer or approve an Interac request payment in the amount at issue.

The bank that you choose to complete your Interac e-transfer from may have restrictions on the amount you may send in each Interac e-transfer and the frequency of transfers over a period of time.

9.6 Funding Your Ntradex Account via Wire or Electronic Funds Transfer (EFT)

You may fund your account via a wire or EFT, in the form of SWIFT, ACH, or similar, so long as the sender of the transaction is you. When you choose to fund your account via wire or EFT, you confirm that our details are correctly captured, that you are authorised to access and transmit funds from your bank account, that your bank account is in good standing with the account-holding financial institution, and that you have the authority to initiate a wire or EFT payment in the amount at issue.

If you choose to fund your account using an EFT or domestic wire transfer, your transaction order will remain in processing until we receive your funds to our specified account. In cases where for any reason the transaction is cancelled or refused, we will promptly return the deposit to the originating bank account. Ntradex Solutions Inc. reserves the right to restrict any account in violation of its funding policies.

9.7 Funding Your Ntradex Account via Third-Parties

You may fund your account via a third-party only in situations where Ntradex Solutions Inc. has provided you with Account Details under your KYC'd name, as described in the Virtual Account funding section above.

Important: You may not fund your account via a third-party when the provided Account Details belong exclusively to Ntradex Solutions Inc. under the names "Ntradex Solutions Inc.", "Ntradex Solutions LTD", "Ntradex Solutions PTY LTD", "Ntradex Inc.", or "Ntradex".
Important: Funding from third-party accounts to Ntradex Solutions Inc. under a name different from the name that initiated the transaction on the Ntradex platform will be completely forfeited by that user with no recourse to Ntradex Solutions Inc. in all jurisdictions where we operate.

Ntradex Solutions Inc. reserves the right to suspend and/or terminate any account in continuous violation of its funding policies.

9.8 Sending Out Funds from Your Ntradex Account

You may initiate a transfer of all or some of the balance in your Ntradex Account. We may charge you a fee for each withdrawal request (currency dependent) and will let you know the exact amount when you initiate a transfer. You can also find more information about the fees we charge on the Pricing Page.

You must provide correct information to us. When initiating a transfer to a beneficiary, you must ensure that the information you provide is correct and complete. We will not be responsible for money sent to the wrong recipient because of incorrect information provided by you.

We may delay or decline a withdrawal in certain situations, including if you have not yet reached the required verification level or if you have exceeded your transfer limits for the period.

9.8.1 Adding a Beneficiary to Your Ntradex Account

To add a beneficiary (currency dependent), you will need to provide certain information, including but not limited to the full name of your recipient, your recipient's bank account details (e.g. sort code and account number for UK accounts, or the International Bank Account Number (IBAN) for payments made to non-UK accounts), or their x:tag username, or contact details (e.g. address, postal code, city), along with the amount and currency you are sending.

Our Rewards Program

10.1 What Is the Rewards Program?

Ntradex Solutions Inc. is offering its existing customers the opportunity to earn a referral reward in the form of x:points that can be redeemed into rewards (the "Reward") in various forms such as cash, discounts, and similar benefits, by referring someone (the "Referral") to sign up for an Ntradex Account (the "Program"). All the Referral will need to do is complete the steps set out in this section. Anyone who holds an Ntradex Account is eligible to refer someone. Reward points will only be awarded if all criteria in these Terms are met by both the Ntradex customer and their Referral.

The terms and conditions that apply to the Program are made up of these Terms and the information included in the in-app Rewards section (the "Program Terms"). You must comply with these Program Terms and the terms that apply to your Ntradex Account at all times when participating in the Program.

10.2 How Do You Earn Reward Points?

To refer a friend, invite someone to join Ntradex by tapping on the "Share" icon displayed next to your x:tag on the "More" screen. This icon can also be found next to your x:tag in the "Profile Information" screen. A draft message containing your unique referral link as well as your x:tag will appear. You can customise the message and send it to your Referral. You agree you will not attempt to mislead anyone in connection with this Program.

When sending referral messages, you agree you alone are the sender, that you will only send it to people you know and have permission to contact, that you will not spam anyone with referrals, and that you will remain compliant with all applicable laws. Each Referral must tap on or click your unique link for you to be eligible for the Program. Your referral must satisfy all steps before you are eligible for any reward.

10.3 What Does Your Referral Need to Do?

For you to be eligible for your Reward, your Referral must: successfully open and verify an Ntradex Account for the first time using your unique referral link (someone who has previously signed up for an Ntradex Account with any of our global entities will not earn you a Reward, and you cannot refer yourself); top up their account from an external source (such as a card top-up or transfer from another bank, not a transfer from another Ntradex account or an x:tag transfer from within Ntradex); and perform a complete Ntradex transaction (deposit in one currency, exchange to another, and send out in the exchanged currency).

When your referral makes a complete Ntradex transaction in total volume equivalent to at least CA$250 or its equivalent in any other currency, you will be eligible to receive 4,000 x:points and your referral will be eligible to receive 1,000 x:points.

You will not be eligible for a Reward — or may have a previously paid Reward reversed — if your Referral reverses or abuses one of these steps. Colluding with your referral to repeatedly send funds in the same currency with the aim of increasing transaction volume is considered malicious and will lead to automatic account suspension.

10.4 Additional Legal Information

The Program is a double-sided campaign, where both the referrer and the referred may be awarded Rewards. To be eligible for a Reward, you must have an active Ntradex Account (not restricted, suspended, or terminated) throughout the Program and at the time any Reward is due.

We reserve the right to reverse any Reward credited to your Ntradex Account if we become aware that you have breached these Program Terms. We may also take any other actions we see fit, including suspending your account, banning you from the Program, or closing your Ntradex Account, if we believe you have engaged in fraud or material abuse of the Program.

We may change, suspend, or end the Program earlier than planned if, in our reasonable opinion, the Program is being abused, may negatively affect Ntradex's goodwill or reputation, or due to unforeseen circumstances. If this occurs, we will try to give you notice through the app and/or email. Ntradex Solutions Inc. will not be liable for any loss, whether direct or indirect, where we are unable to continue running the Program as planned.

By participating in this Program, you confirm that you understand that any Reward may be subject to local income tax in the country of your residence. It is entirely your responsibility to pay any tax which may arise. Ntradex Solutions Inc. will bear no liability for any tax obligations arising from receiving any Reward under this Program.

The terms in this document are published in English. Any translation into another language is for reference only, and the English language version applies and may be used in legal proceedings.

11

Intellectual Property

11.1 Trademarks and Branding

All trademarks, logos, and branding related to Ntradex are our exclusive property, owned and controlled by Ntradex Solutions Inc. Unauthorised use is prohibited.

11.2 Third-Party Materials

Ntradex Solutions Inc. may integrate with third-party services. Details on these integrations will be provided as applicable. Use of third-party services accessed through or in connection with the Ntradex platform remains subject to the terms and conditions of those third-party providers.

Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Nova Scotia, Canada. Disputes arising from your use of Ntradex Services in Canada are to be resolved in the courts of Nova Scotia. For users in Nigeria, disputes are governed by Nigerian law and resolved in Nigerian courts. For users in the United Kingdom, disputes are governed by UK law and resolved in the courts of England and Wales. For users in the United States, disputes are governed by applicable US law and resolved in the relevant US courts. For users in Australia, disputes are governed by the laws of New South Wales and resolved in the courts of New South Wales.

Customer Complaint Procedure

Users may submit complaints through Customer Support. We aim to resolve issues promptly, following industry best practices. Upon receiving a complaint, we will acknowledge receipt within 48 hours. Complaints will then be reviewed and investigated, and you may be required to provide additional information. We will provide a resolution within 14 business days. If you are unsatisfied with the outcome, you may escalate the matter through our internal escalation process or to the Financial Consumer Agency of Canada (FCAC) or another relevant regulatory authority.

Data Privacy

We handle user data in accordance with our Privacy Policy, which is incorporated into these Terms by reference and is available on our website. Our privacy practices in Canada are governed by the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. By using our Services, you consent to the collection, processing, and use of your personal information as described in our Privacy Policy.

Force Majeure

Ntradex Solutions Inc. is not liable for service disruptions caused by unforeseen events beyond our reasonable control, including but not limited to natural disasters, political instability, regulatory changes, cyberattacks, or failures of third-party infrastructure providers. In such events, we will take reasonable steps to restore Services as quickly as practicable and will communicate with affected users where possible.

Account Termination

16.1 Closing Your Account

You may stop using Ntradex and close your Ntradex Account at any time. These Terms continue to apply until your Ntradex Account is terminated. You may close your Ntradex Account and end your ability to use our Services at any time by following the steps provided in our App.

If you want to close your Ntradex Account, you should withdraw your funds within a reasonable time before closure. You must withdraw your funds before your Ntradex Account closes. If you still hold funds in your Ntradex Account at the time of closure, you will be unable to complete the termination until those funds are withdrawn.

You cannot use the App if these Terms end. On termination for any reason, all rights granted to you in connection with the App shall cease, and you must immediately delete or remove the App from your devices.

16.2 Termination and Suspension by Ntradex

Ntradex Solutions Inc., in its sole discretion, reserves the right to suspend or terminate these Terms and access to our websites, apps, and systems — including all Services — for any reason and at any time upon notice to you, along with payment of any unrestricted funds held in your Ntradex balance.

Reasons we may suspend and/or terminate your Ntradex Account include, but are not limited to: breaching any provision of these Terms or any Additional Documents; being directed to do so by a competent court, government authority, or law enforcement agency; having reason to believe, after investigation, that you are in violation of any applicable law or regulation; having reason to believe you are involved in fraudulent activity, money laundering, terrorism financing, or other criminal activity; or having reason to believe you have abused our Rewards Program or any other program intended to reward Ntradex users.

If we suspend and/or terminate your use of Ntradex for any reason other than debit/credit card theft, we will provide you with notice of our actions and make any unrestricted prepaid funds held in your Ntradex Account available for withdrawal.

If we suspend and/or terminate your use of Ntradex for reasons relating to debit/credit card theft, chargebacks, or disputes, all funds held in your balance from such transactions will be refunded to the Cardholder(s) within 30 days.

We may also suspend your Ntradex Account if it has been compromised or used for other security reasons, or if it has been accessed without your authorisation or fraudulently.

In the event of any loss, claims, costs, or expenses (including reasonable legal fees) arising out of your breach of these Terms, any applicable law or regulation, or your use of our Services, you agree to defend, compensate, and hold harmless Ntradex Solutions Inc. and its affiliates. This provision will continue after our relationship ends.

Acceptable Use Policy

Users — personal and business — must not engage in restricted activities, including but not limited to: fraudulent or deceptive practices; malicious transactions between users; money laundering or terrorist financing; violating any applicable laws or regulations; engaging in unauthorised financial services; or using the platform for unlawful transactions of any kind. Any violation of this policy may result in immediate account suspension or termination.

Liability and Disclaimers

Ntradex Solutions Inc. does not guarantee uninterrupted access to its Services and is not liable for any delays or failures caused by circumstances beyond our reasonable control. We are not responsible for losses arising from incorrect information provided by users, whether in a personal or business capacity. We are not liable for third-party service failures or disruptions beyond our control, including failures of banking partners, card networks, or payment infrastructure providers.

Modifications to These Terms

Ntradex Solutions Inc. reserves the right to modify these Terms at any time. Users will be notified of changes via email or an in-app notification. Continued use of the Services after any modification constitutes your acceptance of the revised Terms.
